LondonMetric Property plc and Schroder Real Estate Investment Trust completed a £404 million joint acquisition and corporate carve-out of Picton Property Income Limited on September 11, 2026. The transaction transfers Picton's multi-let industrial and retail warehouse portfolio to Schroder Real Estate Investment Trust, known as SREIT, while LondonMetric Property plc absorbs the remaining commercial assets. The completion follows shareholder approval on September 2, 2026, where 95.20% of votes cast at the Court Meeting were in favor of the transaction.

LondonMetric, led by Chief Executive Andrew Jones, used Barclays Bank PLC and Jefferies as financial advisers for the takeover. The transaction closes a formal process that began when Picton announced a Strategic Review on March 24, 2026, leading to agreed terms for the £404 million takeover on July 31, 2026.

Scale of the Enlarged Vehicles

The £404 million transaction increases SREIT's gross asset value by nearly 80%, expanding its balance sheet from £475.4 million prior to completion on September 11, 2026, to nearly £850 million. To fund the acquisition, SREIT is issuing over 450 million new shares to Picton security holders.

The absorption of Picton's multi-let industrial and retail warehousing assets expands SREIT's direct scale in target sectors. Concurrently, LondonMetric integrates Picton's remaining commercial assets into its broader balance sheet, expanding its existing asset base through equity consideration.

Structure and Exchange Mechanics

The corporate acquisition was executed through a Court-sanctioned scheme of arrangement under Part VIII of the Companies (Guernsey) Law, 2008. This legal structure allowed the acquirers to simultaneously execute the corporate takeover and the underlying asset division.

Under the terms of the scheme, Picton shareholders received 0.190 new LondonMetric shares and 0.894 new SREIT shares for each individual Picton share held. The consideration was structured entirely as equity, with no cash component offered to target shareholders.

Market Impact and Consolidation

On our reading, this joint transaction accelerates consolidation across the UK listed REIT sector by combining mid-tier portfolios into larger vehicles. The creation of larger entities directly addresses the structural cost disadvantages faced by smaller listed funds.

Scale allows enlarged REITs to reduce ongoing expense ratios by spreading fixed management and administrative costs over a broader gross asset base. Furthermore, on our analysis, the reallocation of Picton's assets creates focused vehicles centered on high-conviction asset classes, specifically multi-let industrial and retail parks, where operational scale drives portfolio performance.

Fluctuation Risk and Asset Valuation

For this reading on market consolidation and value creation to hold, the operational benefits of scale must offset equity price volatility and shifting underlying valuations. Because the consideration was entirely share-based rather than paid in cash, the implied deal value fluctuated in line with the acquirers' equity prices between the announcement on July 31, 2026, and final completion on September 11, 2026.

Additionally, filings show that Picton's underlying net asset backing experienced pressure prior to completion. Picton's EPRA net tangible assets fell from 102.2p to 101.5p per share during the second quarter of 2026. If equity market volatility depresses the trading multiples of the enlarged vehicles, the anticipated cost benefits of scale could be negated by reduced net asset values per share.

Settlement and Share Issuance

Market participants must monitor the final settlement steps of the transaction over the coming days. Definitive share certificates for the new SREIT shares are scheduled to be dispatched, and all share consideration is to be fully settled, no later than September 24, 2026.

Following settlement, attention will turn to the integration of Picton's multi-let industrial and retail warehouse assets into SREIT's £850 million balance sheet, alongside LondonMetric's operational execution on the absorbed commercial portfolio.
